VERIFICATION OF REGISTERED OFFICE


In an earlier post here, we have discussed that according to Section 12 of the Companies Act 2013, the company shall have on and from the fifteenth day of its incorporation and all time a registered office for all communication purpose. The company shall furnish verification of its registered office within a period of thirty days of its incorporation.

According to Rule 25 of the Companies (incorporation) Rules 2014,

The verification of the registered office shall be filed in Form INC – 22 along with the fee.

There shall be attached to said Form, any of the following documents, namely—

  1. the registered document of the title of the premises of the registered office in the name of the company; or
  2. the notarized copy of lease or rent agreement in the name of the company along with a copy of rent paid receipt not older than one month;
  3. the authorization from the owner or authorized occupant of the premises along with proof of ownership or occupancy authorization, to use the premises by the company as its registered office; and
  4. the proof of evidence of any utility service like telephone, gas, electricity, etc. depicting the address of the premises in the name of the owner or document, as the case may be, which is not older than two months.

Publication of name by company

In continuation of provision of sub – section (3) of Section 12 according to Rule 26, the Central Government may as and when required, notify the other documents on which the name of the company shall be printed.

    Form Inc 22 is available for for existing company not for new company. when we fill the form it state change of registered office. but we are not changing the registered office. we are updating the address.

    • From INC-22 is a notice of situation or change of situation of registered office. When an office address is updated it is change of situation of registered office.

      In case, the company earlier mentioned wrong address, it may attract penal action. Correct it urgently by filing Form INC – 22 for change of situation.
