Please refer Rule 3 (6) of Companies (Meetings of Board and its Powers) Rules, 2014. “……….. the scheduled venue of the meeting as set forth in the notice convening the meeting, which shall be in India, shall be deemed to be the place of the said meeting….”. Does it mean that any one director shall be in India only? Two directors can not hold BM thro’ video conferencing outside India?

  4. hi, while this seems to be obvious, but hope that this relevant section and rules also cover Committee meetings ? Also if a director participates through only audio means, it may be worth-while to not include him in quorum, while he amy particiapte in teh meeting ?
